Draft — to be checked by a solicitor before launch.
Terms of service
1. Who we are
The service is run by Adria Technologies Limited, trading as AI Receptionist, a company registered in England and Wales, company number 17543235, registered office 66 Paul Street, London, EC2A 4NA ("we", "us").
These terms are between us and the business that signs up ("you").
2. Business customers only
The service is for businesses, sole traders and organisations, for use in their trade or work. It is not for consumers. By signing up you confirm that you act for a business and may agree to these terms for it.
3. The service
An AI receptionist that answers your business's phone calls. It:
- says it is an AI at the start of every call, and that the call is transcribed. You cannot switch this off;
- answers questions from the facts you checked (for example from your website);
- takes messages and texts them to the mobile number you give;
- takes bookings in its own diary, or in a booking system you connect;
- can pass urgent calls to a person, on the number you give, while you are open;
- shows each call, with a summary and transcript, in your dashboard.
You can forward your own number to it, or ask for a new UK number. UK numbers need your business details to be checked by the phone network first, which can take a few days. We may add, change or remove features over time; we will not remove a main feature you pay for without notice [to confirm].
4. Before you pay
- Plans are paid monthly in advance.
- You can hear your receptionist in your browser before you pay: a few short test calls, with a small limit on the minutes in total.
- We set up your phone number, and the receptionist answers real calls, only after you choose a plan.
- You can cancel any time. Your plan then ends at the end of the month you paid for.
5. Plans and payment
- Plans are monthly. Each plan includes a number of call minutes, with a price per extra minute. The current prices are shown in your dashboard before you pay.
- Prices exclude VAT, which is added where it applies.
- Payment is taken by Stripe, our payment provider. We do not see or store your full card details.
- The monthly price is charged at the start of each month. Extra minutes are added to a later bill [to confirm].
- Calls passed to a person count towards your minutes for as long as that part of the call lasts. Test calls count too.
- If a payment fails, Stripe tries again. If it stays unpaid, we may pause the service until it is paid [to confirm: how long before a pause].
- We may change prices with at least 30 days' notice by email [to confirm]. The new price applies from your next month after the notice ends.
6. Cancelling
You can cancel any time in your dashboard. There is no contract term and no cancellation fee.
- A cancelled plan runs until the end of the month you paid for, then stops.
- We do not refund part months [to confirm]. Extra minutes already used are still charged.
7. Fair use and minute limits
To keep costs fair and stop misuse, the service has limits. These include:
- the minutes in your plan, plus a limit on extra minutes each month, and the test minutes before you choose a plan;
- a longest length for one call (10 minutes by default) [to confirm];
- a limit on the time calls can spend passed to a person (240 minutes a day on a plan) [to confirm];
- a limit on browser test calls each day, and on the number of businesses in one account.
When a limit is reached, the receptionist stops answering: calls go to your own number if you gave one, or the caller hears a short message. We may suspend an account that is used in a way that harms the service, the phone network or other people.
8. What you must do
- Use it lawfully. Follow the law that applies to your business and your calls, including UK GDPR, the Privacy and Electronic Communications Regulations (PECR) and Ofcom rules.
- Tell your callers. The receptionist tells callers it is an AI and that the call is transcribed. You must also explain this in your own privacy notice, with how you use their details.
- Have a lawful basis for the personal data your callers give, and an extra condition if they may give health or other special category data (for example at a clinic).
- Give true details. Your business details, the facts the receptionist uses, and the details the phone network asks for must be true and kept up to date.
- Check its work. Check bookings and messages, and the facts it answers from.
- Keep your sign-in safe. You are responsible for what happens in your account.
- Emergencies. The receptionist is not an emergency service. Do not rely on it for urgent safety or medical matters.
9. No cold calling
You must not use the service for cold calling, marketing calls or marketing texts, or to contact people who did not ask to be contacted.
The service only answers calls to your business. Texts go only to you, or to a caller about their own booking or request. We never make marketing calls or send marketing texts, for ourselves or for you.
10. Availability and mistakes
- We work to keep the service running, but we do not guarantee that it is always available or free of faults. It depends on phone networks and other providers.
- The receptionist uses AI. It can make mistakes: it may mishear, misunderstand or give a wrong answer. Check your bookings and messages, and keep a way for customers to reach you.
- We may do maintenance, and will try to do it at quiet times.
11. Your data
- Your callers' details belong to you. For call content we act as your processor under UK GDPR, and our Data Processing Agreement is part of these terms.
- For your account and billing details we are the controller. See our Privacy notice.
- We do not use your callers' calls or transcripts to train AI models. We opt out of Deepgram's model-improvement programme on every call. Other providers' settings for this are still being checked [to confirm].
12. Liability
Placeholder [for the solicitor]. This section is not final and needs proper wording. Points to cover:
- nothing limits liability for death or personal injury caused by negligence, for fraud, or anything else the law does not allow to be limited;
- no liability for loss of profit, business, revenue or goodwill, or for indirect loss;
- no liability for missed calls, wrong bookings or wrong answers, where the customer was told to check the AI's work;
- total liability in any 12 months capped at the fees paid in those 12 months;
- the customer's indemnity for unlawful use (for example cold calling or missing lawful basis).
13. Ending the service
- We may suspend or end your account if you break these terms in a serious way, or do not pay. Where we can, we will warn you first.
- When the service ends, we delete your callers' data as the DPA says. You can download what you need before then [to confirm: export].
14. Changes to these terms
We may change these terms. We will email you at least 30 days before an important change takes effect [to confirm]. If you do not agree, you can cancel before then.
15. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales decide any dispute [to confirm].
